Quick answer
In the Philippines, borrowers generally must repay money validly borrowed, together with lawful interest and charges. But submitting a loan application does not, by itself, establish that a loan was released or that every charge demanded is enforceable. The agreement, proof of acceptance, disbursement records, disclosures, and payment history matter.
If you dispute a charge, complain to the lender in writing immediately, identify the exact amount and reason, and request a complete account reconciliation. A complaint does not automatically cancel the loan or suspend all repayments. Under the Financial Products and Services Consumer Protection Act, however, a covered financial service provider must suspend the imposition of interest, fees, and charges—or provide similar reasonable accommodation—while investigating an alleged disputed amount or unauthorized transaction. Ask for written confirmation of how this protection will apply to your account. lawphil.net
Before applying: verify the lender and the true cost
Identify the legal entity lending the money. An app name, payment platform, or collection agency may differ from the creditor named in the contract.
For a lending or financing company, check its SEC registration and Certificate of Authority to operate. For an online lender, also check the SEC’s list of recorded online lending platforms. A company-registration certificate alone does not establish authority to conduct a lending business. Securities and Exchange Commission
Before accepting, obtain and save:
- The loan agreement and disclosure statement.
- The stated principal and the amount you will actually receive after deductions.
- Interest rates, including the effective interest rate, and whether rates are monthly or annual.
- Processing, service, insurance, late-payment, collection, and other charges.
- Installment amounts, due dates, payment channels, and posting rules.
- Any collateral, guaranty, automatic-debit authority, or prepayment conditions.
- The lender’s complaint procedure and privacy notice.
The Truth in Lending Act requires covered creditors to provide written disclosure before the transaction is consummated. A repayment figure shown only after acceptance is not a substitute for the required prior disclosure. Supreme Court E-Library
Compare the cash actually available to you with the complete repayment schedule. A low advertised interest rate may conceal substantial deductions or additional fees.
Does an application, approval, or app acceptance create a debt?
These are different stages.
Under Article 1934 of the Civil Code, a simple loan is perfected upon delivery of the money or other object of the loan, although an accepted promise to lend can itself be binding. An approval notice is therefore not conclusive proof that the lender released the loan. lawphil.net
An online agreement can nevertheless be legally effective. The Electronic Commerce Act recognizes electronic contracts; an agreement cannot be rejected merely because it exists electronically. Whether a particular click, electronic signature, or OTP establishes your acceptance depends on the records and circumstances. The absence of a handwritten signature does not automatically invalidate an app-based loan. Supreme Court E-Library
If you applied but never received the proceeds
Request:
- The agreement and evidence of your acceptance.
- The release date, amount, transaction reference, and destination account.
- Proof that the disbursement succeeded rather than failed or reversed.
- An explanation of any deductions from the stated principal.
Check your bank or e-wallet statements against those records. If the lender claims it paid a seller, another creditor, or another recipient on your instructions, examine that authorization too. Receipt does not always mean cash entering your personal account.
If you never applied or authorized the loan
Report the account as an alleged unauthorized transaction immediately. Request preservation of application records, identity-verification materials, acceptance logs, and disbursement details. Secure affected accounts and preserve messages and transaction alerts.
If unfamiliar money appears in your account, do not spend it or transfer it to an account supplied by an unsolicited caller. Ask the receiving institution and alleged lender to arrange a documented verification and return process.
Which interest and charges may be collected?
Interest for using the money requires a written stipulation
Article 1956 of the Civil Code requires an express written agreement for monetary interest. The Supreme Court distinguishes this contractual interest from compensatory interest that may arise because of delay or failure to pay. Consequently, “there was no written interest agreement” does not necessarily mean that a borrower can never owe interest of any kind. lawphil.net
A disputed computation should separate:
- Principal.
- Contractual interest.
- Processing and other fees.
- Late-payment penalties.
- Any claimed interest on interest.
- Payments and credits already received.
Ask the lender to identify the contractual and legal basis for each item.
Specific ceilings apply to qualifying small loans
The SEC’s Memorandum Circular No. 14, series of 2025, recalibrated the ceilings for covered small loans beginning 1 April 2026.
The covered category consists of unsecured, general-purpose loans from lending and financing companies, including their online platforms, with a principal not exceeding ₱10,000 and a term not exceeding four months.
| Charge | Ceiling for a covered loan |
|---|---|
| Nominal interest | 6% per month |
| Effective interest rate, including applicable fees and charges but excluding late-payment or nonpayment penalties | 12% per month |
| Late-payment or nonpayment penalties | 5% per month of the outstanding scheduled amount due |
| Total interest, fees, charges, and penalties | 100% of the total amount borrowed, regardless of how long the loan remains outstanding |
The updated framework applies to loans entered into, restructured, or renewed beginning 1 April 2026. The earlier framework used a 15% monthly effective-interest ceiling. The loan date and any renewal or restructuring therefore matter. The SEC’s explanation through the Philippine Information Agency confirms the updated rates and limited coverage; the earlier ceilings appear in BSP Circular No. 1133. Securities and Exchange Commission
These ceilings operate together. They do not authorize a lender to charge every maximum automatically, and the effective-interest ceiling is not an additional charge on top of nominal interest.
The total-cost cap concerns charges apart from principal. For example, on a covered ₱5,000 loan, cumulative interest, fees, and penalties cannot exceed another ₱5,000. Payments already made must still be credited.
Do not automatically apply these numerical ceilings to bank loans, credit cards, secured loans, larger loans, or loans with longer terms. Different rules may govern those products. Philippine Information Agency
A signed charge is not necessarily beyond challenge
Contractual penalties can be reduced by a court when the legal grounds under Article 1229 are present, including when a penalty is iniquitous or unconscionable. The invalidity of a penalty clause does not, by itself, invalidate the principal obligation. lawphil.net
Avoid assuming that a rate is lawful merely because it appears in a contract—or unlawful simply because it seems high. Product-specific ceilings, disclosures, contractual wording, and the circumstances must be examined.
How to repay without creating another dispute
Use a verified payment channel
Confirm payment instructions through the lender’s official contact details, especially if a collector suddenly supplies a different bank account, QR code, or personal e-wallet.
Keep the receipt, transaction reference, recipient details, date, amount, and loan-account number. A successful transfer record is important evidence, but check that the lender has posted it to the correct account.
Check how payments were applied
Do not assume every payment reduces principal peso for peso. Article 1253 of the Civil Code generally provides that, when a debt produces interest, principal is not treated as paid until interest has been covered. The validity of the claimed interest and the applicable payment-allocation rules still matter. lawphil.net
Ask for an updated ledger showing each payment and its allocation.
Obtain a dated payoff statement before paying early
Covered borrowers may prepay a loan wholly or partly before maturity. Any prepayment costs or fees must be disclosed under the Financial Products and Services Consumer Protection Act. Early payment is therefore not necessarily fee-free. Supreme Court E-Library
Request a payoff figure valid through a stated date, including the treatment of future interest and any prepayment fee. After payment, obtain written confirmation of the remaining balance or full settlement.
Put restructuring and settlement agreements in writing
If you cannot meet the schedule, contact the lender before the next due date and propose an affordable arrangement.
Before accepting, confirm the revised principal, capitalized charges, new interest, fees, installment dates, and total repayment. A lower installment can still mean a higher overall cost.
For a discounted settlement, obtain written confirmation of whether payment fully settles the account and whether the remaining balance is waived. Do not rely solely on a collector’s verbal promise.
How to dispute an incorrect balance or unauthorized charge
1. Reconstruct the account
Prepare a simple timeline showing the application, acceptance, release, deductions, due dates, payments, and disputed entries. Match the lender’s ledger against your independent transaction records.
Common issues include duplicate fees, uncredited payments, deductions inconsistent with disclosures, penalties computed on the wrong amount, and accounts opened without authorization.
2. Send a specific written complaint
Use the lender’s official complaint channel. State:
- Your account or loan reference.
- The particular transaction or charge disputed.
- Its amount and date.
- Why you dispute it.
- The documents supporting your position.
- The correction, refund, investigation, or explanation requested.
Request acknowledgment and a case-reference number. Avoid sending passwords, PINs, or OTPs.
3. Request protection while the investigation is pending
Ask the lender to confirm its treatment of the disputed amount under Section 8(f) of the Financial Products and Services Consumer Protection Act. That provision requires suspension of the imposition of interest, fees, and charges, or similar reasonable accommodation, pending the final investigation report. lawphil.net
Do not assume that filing the complaint suspends every installment. Ask how to pay undisputed amounts and how those payments will be allocated.
4. Escalate through the correct authority
| Institution or issue | Appropriate route |
|---|---|
| Bank or another BSP-supervised financial institution | Complain to the institution first; unresolved concerns may be escalated through the BSP Consumer Assistance Mechanism |
| SEC-regulated lending or financing company, including its online platform | Follow the company’s complaint process, then use the SEC’s designated complaint channel |
| Cooperative offering financial services | Generally the CDA; cooperative banks and other BSP-supervised cooperative financial institutions fall under the BSP |
| Misuse or unlawful disclosure of personal data | National Privacy Commission |
| Threats, identity theft, suspected fraud, or other possible crimes | Police, NBI, or the appropriate law-enforcement authority |
The regulator depends on the actual provider and product, not simply the app used to access it. Consumer Protection
For BSP-supervised institutions, the BSP Consumer Assistance Mechanism provides escalation guidance. BSP identifies its Online Buddy, BOB, and alternative submission channels, including a completed Complaints, Inquiries and Requests form sent to consumeraffairs@bsp.gov.ph. Include your original complaint, the institution’s reply if available, and supporting records. ConsumerAssistanceChannelsChatbot.aspx
For lending and financing companies, the SEC directs complaints through SEC iMessage. Its instructions call for a complete complaint, relevant evidence, identification, and proof of prior efforts to resolve the matter with the company. Complaints about lending without a Certificate of Authority are directed to epd@sec.gov.ph. Securities and Exchange Commission
A regulatory complaint does not automatically rewrite the contract or erase the debt. The SEC’s published complaint guidance expressly identifies limits on that complaint process. Judicial relief or another applicable adjudication procedure may be needed for the particular remedy sought. Securities and Exchange Commission
Collection must respect your rights
A valid debt does not authorize abusive collection. The Financial Products and Services Consumer Protection Act prohibits abusive debt-recovery practices. SEC rules also prohibit threats of action that cannot legally be taken and false or deceptive representations used to collect debts. lawphil.net
Being listed as a character reference does not automatically make someone a guarantor. NPC guidance distinguishes verification contacts from persons who expressly undertake a guaranty. For debt collection, its loan-related privacy rules prohibit contacting people in a borrower’s contact list other than declared guarantors. privacy.gov.ph
If a lender or collector sends loan details to unrelated contacts, publishes personal information, or uses contact access to harass you, preserve the evidence. For a privacy complaint, follow the NPC’s complaint instructions. Its general exhaustion requirement involves first notifying the respondent in writing and showing inadequate action or no response within 15 calendar days. If harm is ongoing or urgent, seek advice promptly about available exceptions and protective relief. privacy.gov.ph
Evidence to preserve
Keep copies outside the lending app, particularly before uninstalling it:
- Application screens, advertisements, and offers.
- The exact contract and disclosure statement accepted.
- Emails, SMS messages, and acceptance confirmations.
- Bank or e-wallet statements showing disbursement and repayments.
- Receipts, payment references, and account ledgers.
- Collection messages, call logs, screenshots, and voicemail files.
- Posts or messages sent to relatives, coworkers, or other contacts.
- Complaints, delivery confirmations, replies, and reference numbers.
- Settlement, restructuring, or cancellation confirmations.
Preserve original files and complete conversations where possible. A screenshot with the sender, date, and surrounding messages is usually more useful than an isolated cropped statement.
Common mistakes to avoid
- Ignoring a genuine court notice. A complaint to a regulator does not replace a response required in court.
- Treating every disputed fee as a reason to stop all payments. Clarify the treatment of undisputed obligations.
- Assuming nondisclosure cancels the entire loan. The Truth in Lending Act does not generally make the underlying transaction unenforceable merely because its disclosure requirements were violated. Supreme Court E-Library
- Paying an unverified collector. Confirm both authority to collect and payment instructions.
- Accepting a rollover without a new computation. Check what charges are being carried into the new balance.
- Deleting the app before saving records. Preserve evidence first, then review unnecessary permissions.
- Signing an inaccurate acknowledgment or settlement. Understand whether it admits a balance or changes your obligations.
When legal help is urgent
Seek prompt assistance if you receive summons, a court order, foreclosure or repossession documents, a criminal complaint, or a notice involving a guaranty or collateral. Also act quickly if there are threats of violence, identity theft, continuing disclosure of personal data, or unexplained withdrawals.
Do not wait for a customer-service investigation to finish before checking a legal deadline. Different claims have different periods. For example, the Truth in Lending Act provides a one-year period for its specific statutory civil-penalty action. Claims under the Financial Products and Services Consumer Protection Act generally have a five-year period, with discovery provisions and a ten-year outer limit specified in Section 14. These are not interchangeable deadlines for every loan dispute. Supreme Court E-Library
Bring the complete agreement, ledger, receipts, correspondence, and all notices to a lawyer. If cost is a barrier, inquire with the Public Attorney’s Office, an IBP legal-aid office, or a law-school legal-aid clinic about eligibility and assistance.
Frequently asked questions
Can I be jailed simply because I cannot pay a loan?
No. Article III, Section 20 of the Constitution prohibits imprisonment for debt. That protection does not resolve a separate allegation of fraud or another criminal offense, which requires its own legal elements. Do not ignore a criminal complaint or assume that every collection threat reflects a valid criminal case. Supreme Court E-Library
Can I cancel immediately after accepting?
Check the applicable cooling-off rule and the lender’s disclosed policy immediately. The Financial Products and Services Consumer Protection Act provides a framework for cooling-off policies, but it does not establish one universal cancellation period for every loan. Cancellation after release also requires addressing the return of proceeds and any lawfully recoverable costs. Supreme Court E-Library
Is a processing fee automatically illegal?
No. Its legality depends on disclosure, the agreement, applicable rules, and the computation. For covered small loans, relevant fees count toward the effective-interest ceiling; calling a charge a “service fee” does not automatically exclude it. Supreme Court E-Library
Does harassment mean I no longer have to repay?
Harassment and repayment are separate issues. You may challenge collection misconduct while the valid debt remains payable. Preserve evidence and pursue the appropriate complaint rather than assuming the balance has disappeared. lawphil.net
What if I already paid but collectors keep contacting me?
Send the lender your receipts and request reconciliation, correction of its records, and written confirmation of settlement if the account is fully paid. Ask it to notify its collection agent. Escalate unresolved errors through the appropriate regulator, attaching proof of payment and your earlier complaint.
